Terms of Service

You represent and warrant that you possess the legal capacity to enter into a binding contract and that you are not barred from doing so under any applicable law. Access to the Platform is offered on a discretionary, invitation-led and merit-reviewed basis, the Marketplace operating as an exclusive, curated venue. We reserve the unfettered right to refuse, suspend, or revoke access to any person or account, at any time and for any reason or no reason, without obligation to disclose our deliberations.

“Seller” means a User approved to list goods or services; “Buyer” means a User who initiates a purchase; “Listing” means any digital good or service offered through the Platform; “Escrow” means the mechanism by which funds are held pending confirmation of delivery; and “Content” means any text, file, link, review, or communication submitted to the Platform. Capitalised terms not otherwise defined herein bear the meaning ascribed to them in the ordinary course of the Platform’s operation.

Registration requires a valid and reachable electronic mail address and a unique username. As a condition of the Marketplace’s exclusivity and security posture, each account is subject to an automated audit and a randomised activation hold prior to becoming operative; such measures exist to deter automated abuse, bulk account creation, and manipulation of reputation. You shall provide accurate information, maintain the confidentiality of your credentials, and bear sole responsibility for all activity conducted under your account. The Marketplace shall not be liable for any loss arising from your failure to safeguard your credentials.

A Seller shall, at all times, deliver goods or render services strictly in conformity with the description, representations, and specifications set forth in the relevant Listing. The substitution, downgrade, or material alteration of any good or service after a Buyer has committed funds (colloquially, “switching products”), as well as any misrepresentation, bait advertising, or wilful omission, constitutes a material breach of these Terms and may result in flagging, forfeiture of standing, and permanent removal pursuant to Section 10. Sellers are advised to deliver via secure, time-limited, or single-use means so as to preserve the integrity of their wares.

A Buyer shall conduct reasonable diligence prior to purchase, engage Sellers in good faith, and release Escrow only upon genuine satisfaction that the goods have been received or the service duly performed. Buyers shall not initiate purchases without bona fide intent, abuse the dispute process, or submit reviews that are knowingly false, defamatory, or coercive.

All transactions are mediated by Escrow. Upon initiation of a purchase, the corresponding amount is debited from the Buyer’s balance and held. Funds are released to the Seller upon the Buyer’s confirmation of completion or, where warranted, by administrative determination. Settlement to a Seller is effected to a payout wallet nominated by the Seller. The Marketplace makes no warranty as to the value, volatility, or convertibility of any cryptocurrency and accepts no liability for losses occasioned by market movement, network conditions, or erroneous wallet details supplied by the User.

Vexidian is a professional venue. Every User shall conduct themselves with respect, transparency, and integrity. Communications shall remain courteous and businesslike; representations shall be truthful and complete; and dealings shall be undertaken in a spirit of mutual good faith. Harassment, intimidation, discriminatory conduct, deceptive practice, and any behaviour tending to diminish the trust, reputation, or exclusivity of the Marketplace are strictly proscribed.

Without limitation, you shall not: (a) defraud, deceive, or unjustly enrich yourself at the expense of any User; (b) inflate, fabricate, or otherwise manipulate sales, ratings, or reviews, whether by collusion, self-dealing, or the engagement of affiliated parties; (c) circumvent Escrow or solicit off-Platform settlement in a manner designed to evade these Terms; (d) employ automated means to access, scrape, or overload the Platform; (e) impersonate any person or entity; or (f) use the Platform in furtherance of any unlawful purpose.

Badges, sales tiers, ratings, and other indicia of reputation are conferred, computed, adjusted, withheld, or revoked at the sole and absolute discretion of the Marketplace, including where we have reason to believe that such indicia have been procured by manipulation or do not accurately reflect a User’s standing. No User acquires any vested right in any badge or rating, and the display thereof confers no guarantee to any third party.

We may, with or without prior notice, restrict, suspend, flag, or permanently terminate any account and remove any Content where, in our reasonable judgement, a User has breached these Terms or where such action is necessary to protect the Marketplace or its Users. Termination for cause results in the irrevocable loss of any accrued standing, verified status, ratings, and sales history, none of which is transferable or recoverable. A terminated User may be notified of the basis for removal by electronic mail.

The Platform is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, the Marketplace shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, nor for any loss of accounts, funds, data, profits, or goodwill, howsoever arising. You acknowledge that the loss or compromise of account credentials, the use of weak passwords, or the supply of an inaccessible electronic mail address may result in the permanent and unrecoverable loss of access, for which the Marketplace bears no responsibility.

All rights, title, and interest in and to the Platform, including its trademarks, design, and underlying technology, vest in the Marketplace. Sellers retain such rights as they hold in their own wares and grant the Marketplace a limited licence to host and display the same for the purpose of operating the Platform.

We may amend these Terms from time to time; continued use of the Platform following the posting of revised Terms constitutes acceptance thereof. These Terms, together with the Privacy Policy, comprise the entire agreement between the parties and supersede all prior understandings. If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Any matter not expressly addressed herein shall be resolved in accordance with the principles of good faith and fair dealing that underpin the Marketplace.
